1. Parties & Services
These Terms and Conditions ("Terms") govern the relationship between Vgarde SARL ("Vgarde", "we", "us") and any individual or legal entity ("Customer", "you") who subscribes to our services through billing.vgarde.com.
Vgarde provides cloud hosting services including Virtual Private Servers (VPS), game server hosting, web hosting and related services. By placing an order or activating any service, you agree to be bound by these Terms.
2. Account & Eligibility
You must be at least 18 years old and legally capable of entering into contracts to use our services. By creating an account, you represent and warrant that all information provided is accurate and complete.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately at admin@vgarde.com if you suspect unauthorised access.
3. Services & Service Level Agreement
Vgarde targets a 99.9% monthly uptime for all managed infrastructure. Scheduled maintenance windows, which will be communicated at least 24 hours in advance, are excluded from uptime calculations.
In the event of downtime exceeding the SLA threshold attributable solely to Vgarde infrastructure failures, affected customers may request a pro-rata service credit for the affected period. Credits are applied to the next invoice and do not constitute a refund.
Vgarde reserves the right to modify, suspend or discontinue any service with reasonable notice, except in cases of emergency or breach of these Terms.
4. Payment & Billing
Services are billed monthly in advance. All prices are listed excluding VAT; applicable VAT is added at checkout based on your billing country and VAT status.
Payment is due on the renewal date. Failure to pay may result in service suspension after a grace period of 3 days, and termination after 14 days of non-payment. All data associated with terminated services may be permanently deleted.
Vgarde accepts credit/debit cards, PayPal, bank transfers and other methods as listed on our payment methods page. All card payments are processed securely by Stripe and are subject to Stripe's terms.
5. Cancellation & Refunds
You may cancel your services at any time via the billing portal. Cancellation takes effect at the end of the current billing period; no partial refunds are issued for unused time unless otherwise required by applicable law.
14-day money-back guarantee: New customers who are dissatisfied with their first VPS or game server order may request a full refund within 14 days of the initial activation, provided the service has not been used abusively or in violation of these Terms.
Refund requests must be submitted via support ticket at billing.vgarde.com/support.
6. Acceptable Use Policy
You agree not to use Vgarde services for any illegal, harmful or abusive purposes, including but not limited to:
- Sending unsolicited email (spam) or operating open mail relays
- Hosting or distributing malware, phishing content or child sexual abuse material
- Conducting Distributed Denial of Service (DDoS) attacks against any target
- Cryptocurrency mining without prior written authorisation
- Infringing intellectual property rights of third parties
- Violating any applicable local, national or international law
Vgarde reserves the right to immediately suspend or terminate services upon detection of AUP violations without prior notice and without liability for any resulting data loss.
7. Data Protection & Privacy
Vgarde processes personal data in accordance with the EU General Data Protection Regulation (GDPR) and applicable national data protection laws. Our full Privacy Policy is available at vgarde.com/privacy-policy.
By using our services you consent to the collection and processing of data as described in the Privacy Policy. We do not sell personal data to third parties.
All data is stored on servers located within the European Union. Vgarde implements appropriate technical and organisational security measures to protect your data against unauthorised access, loss or destruction.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Vgarde's total liability for any claim arising out of or relating to these Terms or the services shall not exceed the total amount paid by you for the affected service in the three months preceding the claim.
Vgarde is not liable for indirect, incidental, consequential or punitive damages including loss of profits, loss of data or business interruption, even if advised of the possibility of such damages.
Vgarde is not liable for failures caused by events beyond its reasonable control including natural disasters, acts of government, internet backbone failures or acts of third-party providers.
9. Intellectual Property
All content, trademarks, logos and software on the Vgarde website and control panel are the property of Vgarde or its licensors. You may not reproduce, distribute or create derivative works without our prior written consent.
You retain full ownership of any data, content or software you deploy on Vgarde infrastructure.
10. Governing Law & Disputes
These Terms are governed by the laws of the European Union and, where applicable, the national laws of the jurisdiction in which Vgarde SARL is registered.
In the event of a dispute, both parties agree to first attempt resolution in good faith. If no resolution is reached within 30 days, disputes shall be submitted to the competent courts of the jurisdiction of Vgarde SARL's registered office.
EU consumers retain the right to use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
11. Amendments
Vgarde reserves the right to amend these Terms at any time. Changes will be communicated via email and/or a notice on our website at least 14 days before taking effect. Your continued use of the services after the effective date constitutes acceptance of the updated Terms.
